Data Standardization Challenges In Regulatory Filings .

1. MCA21 XBRL: AOC-4, Cost Audit, Ind AS taxonomy
2. RBI XBRL: ORFS, RBS, CRILC, NBFC returns
3. SEBI XBRL: LODR Reg 33 Financial Results, Reg 23(9) Related Party, Shareholding, Corporate Governance - BSE Listing Centre + NSE NEAPS
4. FIU-IND: CTR/STR XML in FINnet 2.0
5. Global: SEC XBRL (US GAAP/IFRS), ESMA ESEF (European Single Electronic Format - XHTML+XBRL), ISO 20022 for payments

Core Challenges - Why Companies Get Penalised

1. Taxonomy Complexity & Versioning
Regulators update taxonomies every year. Ind AS taxonomy 2023 vs 2024 has different tags. If you map to old taxonomy, filing is rejected as non-submission. SEBI SOP Circular 30 Nov 2016: Filing in other mode than XBRL will be treated as non-submission and penalty levied automatically.

2. Unnecessary Extensions - The Biggest Quality Issue
XBRL allows company-specific tags (extensions) if no tag exists. US SEC study found 40%+ extensions were unnecessary - company created new tag for "Sales" when standard tag "Revenues" existed. This makes data incomparable. Columbia Business School study: "XBRL's lack of standardization makes comparing same performance information impossible... rendered nearly useless as investment tool" unless extensions limited. SEC now enforces quality checks - error rate must reduce.

3. Mapping from ERP to XBRL is Not Native
Majority of companies, ERP does not record at XBRL GL level. Filing is add-on activity exported to Excel utility then converted. Leads to manual errors, truncation, wrong units, scale (Rs vs Rs Lakhs), negative tagging.

4. Validation Failures
XBRL has business rules - calculation, dimensional. E.g., Assets = Liabilities + Equity must tie. Many filings fail because footnotes don't tie. BSE helpdesk gets queries because XBRL uploaded but not appearing due to portal glitch.

5. Entity Identifiers & LEI Mismatch
RBI, SEBI require Legal Entity Identifier (20-char). Mismatch between PAN, CIN, LEI causes rejection. FIU requires exact name match with PAN.

6. Temporal Standardization
Regulation 33: Results must be filed within 30 mins of Board Meeting conclusion, in XBRL mode. Even if uploaded in PDF on time, XBRL delay = non-compliance. NSE/BSE auto levy fine Rs 35,400 incl GST.

7. Semantic Standardization - Related Party Disclosures
Reg 23(9) Integrated Filing XBRL containing RPT details - new taxonomy in 2024. Companies received non-compliance letters from NSE for delay.

Case Laws & Enforcement Actions

1. SEBI SOP Fine for XBRL Non-Submission - BSE Circular Mandatory Filing (2017 onwards)
Regulation: BSE Circular dated 16 March 2017 - Filing of Financial Results in other mode than XBRL treated as non-submission. In 2024-25, multiple companies fined:

Case: Company received letter from NSE for delay in uploading Integrated Filing (XBRL) containing Related Party Transaction details under Reg 23(9) of LODR on NEAPS portal. Fine levied per SOP circular SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11 Nov 2024. Even 1-day delay triggers fine, no mens rea needed.

Principle established in SEBI vs Cabot International (2004) and SAT Orders: Mens rea not required for civil penalties under SEBI Act for procedural filing violations. Technical defect is not excuse.

2. SAT Order - Glitch Defence Rejected but Penalty Reduced
Appellant contended they uploaded financial results in XBRL mode within 30 mins but due to glitch could not upload with audit report on BSE though uploaded on NSE and company website. SAT held glitch of portal is not automatic defence, must show proof of attempt + immediate email to helpdesk bse.xbrl@bseindia.com. Penalty reduced on account of technical defect but not set aside. Shows need to preserve screenshot, helpdesk ticket.

3. BSE Fine Rs 35,400 for Annual Secretarial Compliance Report (ASCR) XBRL (2024)
Company filed ASCR both PDF and XBRL on 16 May 2024 with BSE and NSE. Due to technical glitch with BSE portal, XBRL not appearing. BSE still levied fine. Company had to clarify with evidence of filing. Lesson: Dual filing proof mandatory.

4. MCA21 - Martin Multi Projects Pvt Ltd - ROC Coimbatore Adjudication 28 March 2014
Violation of Sec 134(3)(h) Companies Act 2013 - false disclosure in Board Report on Related Party Transactions. Company filed AOC-4 XBRL with wrong taxonomy mapping for RPT. Penalized company and directors Rs 3 Lakh. Shows XBRL filing is not mere formality - content accuracy checked, directors personally liable.

5. US SEC - XBRL Quality Issues - SEC Staff Observations
SEC evaluates all inbound XBRL filings to identify outlier data. SEC issued 2023 comment letters to 100+ companies for using extensions when US GAAP tag existed, incorrect sign, scale errors. While not penalty yet, SEC warned mandatory audit of XBRL may come. EU ESMA already mandates ESEF filings must be audited.

6. IL&FS Securities Services Ltd (ISSL) - SEBI Penalty Rs 32 Cr (2023)
SEBI imposed penalties totalling more than Rs 32 cr on ISSL, Allied Financial etc for failure to standardize client collateral data reporting. Non-standard reporting led to misuse of client securities. Shows data standardization failure can lead to systemic risk penalty, not just technical fine.

7. FIU-IND vs Banks - CTR/STR Standardization Penalty
FIU-IND levied fines on cooperative banks for non-standard CTR reporting - wrong threshold, wrong account type tagging in FINnet XML, leading to failure to detect money laundering. PMLA Sec 13 penalty up to Rs 5,000 per failure. Standardization is AML defence.

How To Defend & Comply

For SEBI/RBI/MCA:

  1. Use validated taxonomy viewer - MCA Taxonomy 2024, SEBI latest Excel utility from Listing Centre, not old cached copy.
  2. Implement XBRL GL at ERP level - tag at transaction, not at reporting.
  3. Limit extensions - Document why no standard tag exists. Get auditor to review.
  4. Keep evidence - Screenshot of successful upload, NEAPS/BSE acknowledgement number, helpdesk email within 30 mins.
  5. LEI, PAN, CIN master - single golden source.
  6. Pre-validation - Use Arelle or UBMatrix validator before uploading.
  7. SOP - Board meeting ends 3 PM, financial results XBRL ready by 3:20 PM, file by 3:30 PM.
