Decentralized Finance (Defi) Platform Compliance .

I. 5 Pillars of Compliance for DeFi Platform

1. Is it Really Decentralized? - The Control Test

Regulators ask:

  • Who holds admin keys / multisig?
  • Who controls frontend UI?
  • Who collects fees?
  • Who can upgrade contracts?
  • Who holds governance tokens majority?

If answer = team / DAO, then you are VASP / CASP.

EU MiCA Regulation (EU) 2023/1114 - Effective 30 Dec 2024 / June 2026 for CASPs:
Art 2(3): MiCA applies to crypto-asset services even if provided in decentralized manner if natural/legal person controls. Fully decentralized with no intermediary = out of scope. But ESMA guidance: Almost no DeFi is fully decentralized.

US: SEC vs. DeFi = Exchange, Broker, Clearing under Securities Exchange Act if you facilitate securities.

2. AML / KYC - Biggest Risk

FATF Guidance 2021 Updated 2023 - DeFi as VASP:
If DeFi platform has owner/operator who maintains control or sufficient influence - even if decentralized - that person is VASP, must do KYC, transaction monitoring, STR, Travel Rule.

EU AML Regulation 2024/1624 + AMLD6:
CASPs including DeFi frontends must:

  • KYC all users (no anonymous accounts)
  • Monitor transactions
  • Report suspicious to FIU
  • Apply Travel Rule - Regulation 2023/1113 - transfer of funds information must travel with transaction > €1000

Spain: Law 10/2010 as amended - Virtual Asset Service Providers must register with Banco de España, comply AML. Circular requires DeFi frontend operators in Spain to register.

Case Law:

1. US Treasury OFAC vs Tornado Cash - 2022 Sanction + 2024 Court Battle
OFAC sanctioned Tornado Cash smart contract addresses, arguing mixer laundered $7B including Lazarus Group North Korea. Developers claimed code is speech.
2024-2025: US District Court Western District of Texas - Van Loon v Treasury - Court held OFAC cannot sanction immutable smart contracts without human control, but can sanction DAO/ operators. Roman Storm (developer) prosecuted for money laundering conspiracy. Landmark: DeFi protocol with governance can be sanctioned.

2. US SEC vs Uniswap Labs - 2024 Enforcement
SEC charged Uniswap Labs operating unregistered securities exchange and broker. Uniswap frontend facilitated trading of tokens deemed securities. Settlement 2024: Uniswap Labs paid $175k, agreed to block certain tokens. Shows frontend operator liable even if protocol decentralized.

3. US CFTC vs Ooki DAO - 2023 - First DAO as Person
CFTC sued Ooki DAO for operating illegal leveraged trading platform bZeroX. Court held DAO is unincorporated association, can be sued, members who vote can be liable. $643k fine. Established DAO members personally liable for compliance failures.

4. SEC vs BarnBridge DAO - 2023
BarnBridge DAO (DeFi structured products) settled for offering unregistered structured products - $1.7M. DAO treasury liable.

3. Securities Law - Are DeFi Tokens Securities?

Howey Test - US: Investment of money in common enterprise with expectation of profit from efforts of others.

Most DeFi governance tokens, LP tokens, yield products = securities.

EU MiCA:

  • Utility tokens - Title II
  • Asset-referenced tokens (stablecoins) - Title III - e.g. DAI, if controlled
  • E-Money Tokens
  • Crypto-asset services - Title V

If DeFi platform issues stablecoin or yield token promising return - must publish whitepaper, get authorization.

Case:

5. SEC vs Ripple / LBRY / Coinbase - Application to DeFi
Courts held many crypto assets are investment contracts. Applied to DeFi: Aave aTokens, Compound cTokens that accrue interest likely securities if marketed as yield.

6. EU ESMA - First DeFi Whitepaper Rejection - 2025
ESMA rejected several DeFi protocols whitepapers for failing to disclose risks, governance concentration.

4. Sanctions & Illicit Finance - Smart Contract Liability

7. US DOJ vs Tornado Cash Founder Roman Semenov - Sanctions Evasion
DOJ charged founders for conspiracy to launder $1B, including North Korea. Argues DeFi developers who maintain control and profit from fees cannot hide behind decentralization.

8. Netherlands FIOD vs Tornado Cash Developer Alexey Pertsev - 2024 Conviction
Dutch court convicted Pertsev to 64 months for money laundering by developing mixer, even though open-source. Court: Developer knew criminal use and failed to implement controls.

5. Consumer Protection & Liability - Code is NOT Law

9. bZx / Mango Markets / Euler Finance Hacks - Negligence Cases
US Courts held DeFi developers can be liable for negligence if code unaudited, despite disclaimers. User agreement "use at own risk" not sufficient under Spanish consumer law RD 1/2007.

10. UK FCA vs DeFi - 2026 Consumer Duty
FCA applied Consumer Duty to DeFi frontends accessible in UK - must ensure fair value, no misleading yield promises.

II. Compliance Checklist for DeFi Platform Operating in Spain / EU

Before Launch:

  1. Decentralization Assessment: Document who holds keys, multisig threshold, can you truly claim fully decentralized? If not, you are CASP.
  2. MiCA Authorization: Register as CASP with CNMV / Banco de España. Need governance, capital €125k-150k, whitepaper.
  3. AML Program: KYC via partner (Sumsub, Onfido), transaction monitoring (Chainalysis), Travel Rule implementation, registration in Banco de España VASP Registry.
  4. Smart Contract Audit: At least 2 audits, bug bounty, insurance.
  5. Frontend Geofencing: Block US, sanctioned countries if not compliant, IP blocking for OFAC.
  6. No Anonymous UI: Cannot offer mixing, anonymity-enhancing without controls - will be deemed illicit.
  7. DAO Legal Wrapper: Set up foundation / association in Switzerland / Cayman to limit member liability - Ooki lesson.

Ongoing:

  • STR reporting to SEPBLAC (Spain FIU)
  • Maintain logs for 5 years
  • No market manipulation - wash trading prohibition under MiCA Art 89
  • Clear risk warnings: Spanish CNMV Circular 1/2022 requires influencers promoting DeFi to include warnings

III. Penalty

  • MiCA: Up to €12.5M or 3% turnover + ban
  • AMLD: Spain Law 10/2010: €150k to €10M for serious breach
  • US: OFAC: $20M+ (Tornado Cash), criminal prosecution up to 20 years

Bottom Line: 2022 = DeFi unregulated. 2026 = If you control UI, fees, governance, you are financial institution. Fully decentralized immutable contract with no fees = possibly out of scope, but almost none qualifies per ESMA.
