Electronic Trading Platform Accountability .

1. RBI Framework - Forex ETP Accountability

Definition under RBI Act Sec 45W + FEMA 1999: Electronic Trading Platform means any electronic system, other than a recognised stock exchange, on which transactions in eligible instruments like securities, money market instruments, foreign exchange instruments, derivatives are contracted.

Key Rules under MTETP 2025:

  1. No person shall operate an ETP without prior authorisation of RBI.
  2. Only eligible instruments as notified by RBI can be traded.
  3. Operator must be a company incorporated in India, minimum net-worth Rs 5 Crore, with robust technology, audit trail, risk management, data localisation.
  4. All transactions must be reported to Trade Repository - CCIL.
  5. Client identification, KYC as per Master Direction on KYC, and FEMA compliance.
  6. Fair, non-discriminatory access, time-stamping, prevention of market abuse.
  7. RBI can inspect, call for information, and withdraw authorization.

What happens if you operate without authorization:

  • RBI publishes Alert List - Currently 95 platforms as of Nov 2025 including OctaFX, Tickmill, Exness, Pocket Option, FP Markets. RBI says:

"Entities that are neither authorised to deal in forex under FEMA nor authorised to operate electronic trading platform for forex transactions"

  • Penal Action under FEMA Sec 13: Penalty upto 3 times amount involved or Rs 2 Lakh whichever higher + Rs 5,000 per day continuing violation. Up to 5 years imprisonment under Sec 13(1C) if amount involved > Rs 1 Crore and not paid.
  • Liability for banks: AD Category-I banks facilitating such transactions liable under Sec 11(3) FEMA - RBI can direct to reverse transaction, ban.

RBI FAQs dated 28.08.2024: Resident persons undertaking forex transactions with unauthorised persons and for purposes other than permitted under FEMA shall render themselves liable for penal action.

2. SEBI Framework - Stock Exchange Electronic Platform Accountability

SEBI Act + SCRA + Stock Brokers Regulations:

Anonymous Electronic Trading Platform: NSE/ BSE provide order-driven anonymous platform. Matching on price-time priority. This is approved ETP.

Algo Trading / Co-location: SEBI Circular dated 31.03.2012 and 2022 framework - All algo strategies must be approved by exchange, audit trail, risk controls, no manipulative self-trades.

Online Bond Platform Providers (OBPP): SEBI in Nov 2025 circular said many OBPPs violate Companies Act, SEBI Act. Must be SEBI registered stock broker. Investors must verify registration.

Accountability of Platform Operator / Broker:

  • Duty to maintain time-stamped order book, trade log
  • Prevent synchronised trades, self-trades, circular trading
  • Maintain system audit - 1) Technology audit 2) Cyber security audit
  • For glitch - 29 minutes glitch case - SEBI examines if broker had adequate backup, if loss is tort.

3. Case Laws

A. RBI / FEMA - Unauthorised ETP Cases

1. RBI Alert List Enforcement - OctaFX Case
RBI placed OctaFX on Alert List. ED investigation found platform was operating ETP without authorization, collecting money under guise of forex trading, no CCIL reporting. Residents trading on it violated FEMA. ED attached properties under PMLA for proceeds of crime arising from unauthorized ETP operation.

Principle: Absence from Alert List does not mean approval. Trading on any platform not authorized by RBI is FEMA violation. Payment of income tax does not regularise FEMA violation.

2. AP High Court - Vendors Can't Verify Every UPI Customer - 2026 LiveLaw (AP) 115 - SBI defreeze case
Wine trader account frozen at instance of Cyber Cell Patna because his UPI account received payment from tainted account linked to unauthorised forex ETP. Court held merchant's bank account cannot be frozen without material showing involvement. Accountability lies on ETP operator and AD bank, not innocent merchant using UPI. UPI-based payments routine mode.

B. SEBI / SAT - Electronic Platform Trading Cases

3. SEBI v. Kishore R. Ajmera, (2016) 6 SCC 368 = AIR 2016 SC 1079 - Supreme Court - Synchronised Trading on Electronic Platform
SAT in 2011 had said synchronised trades on electronic platform cannot be manipulation because platform is anonymous.
SC reversed SAT:

"In electronic trading platform, where trades are matched anonymously on price-time priority, synchronised trades matching with same entity repeatedly with significant price difference is not coincidence. It is manipulation under PFUTP Regulations."

Held protection of investors includes prevention of such abuse. SC empowers SEBI to penalize even small manipulations on electronic platform.

This is leading law for ETP accountability - anonymity of electronic platform does not give immunity.

4. SAT Order - Appeal over alleged trading glitch losses dismissed - 2025 (11) TMI 1565 - AT - SEBI - Trading Glitch Case
Trader claimed damages for 29-minute glitch on electronic platform - 4 out of 5 gateways recovered in 2 mins, one manually restarted. SEBI examined complaints and found glitch was for 29 minutes.

SAT held:

Trader well aware of risks involved in trading on electronic platform. Damages claim for glitch loss lies in tort before civil court, not under SEBI appeal. SEBI as regulator has examined glitch.

Principle: ETP operator's accountability for technical glitch is to be tested in civil court on negligence, not SEBI penalty, unless system audit failure proved.

5. Not all self-trades are manipulative - SAT in Crosseas Capital & Nishith M Shah HUF v. SEBI, Jagruti Securities v. SEBI, SPJ Stockbrokers
SEBI had penalized brokers for self-trades on electronic platform.

SAT held:

On anonymous electronic trading platform approved by SEBI, buy and sell orders matched on price-time priority. Allegation that trades matched with same entity by design is illogical. Self-trades may occur inadvertently in algo trading. Manipulation requires intent.

Penalty quashed if volume incorrectly calculated and no intent to manipulate.

6. Geofin Comtrade Ltd - NSEL Case - Electronic Spot Exchange Accountability
NSEL incorporated as electronic platform for spot trading of commodities - granted conditional exemption under FCRA Notification SO906(E) dated 05.06.2007. NSEL allowed forward contracts of one-day duration.

When NSEL collapsed (Rs 5,600 Cr), SEBI / MCA held:

Electronic platform operator beyond exemption is illegal. Operator must ensure delivery and payment - cannot run as ETP without settlement guarantee. Directors liable under Sec 27 FCRA, Sec 447 Companies Act, and MPID Act.

This led to RBI 2018 ETP Directions to prevent similar unregulated ETPs.

7. SEBI Adjudication - Thematic Inspection of Broker's Electronic Trading Systems - Rashi Equisearch Pvt Ltd, Order dated 07.10.2026
SEBI + NSE conducted thematic inspection of broker's record-keeping and electronic trading systems. Found failure to maintain audit trail.

SEBI imposed Rs 1 Lakh penalty under Sec 15HB of SEBI Act, 1992 for non-maintenance of electronic records.

Principle: Even if no fraud, failure to maintain ETP audit trail itself is punishable.

4. Combined Accountability Test - Present Law

An ETP operator is liable if:

  1. Operating without RBI authorization (for forex) or SEBI recognition (for securities) - FEMA + SEBI Act + IT Act Sec 66
  2. Fails to maintain time-stamped audit trail, CCIL reporting, maker-checker
  3. Allows synchronised / circular trades / self-trades with manipulative intent - PFUTP Regulations - SEBI v. Kishore Ajmera test applies
  4. Technical glitch causing loss - civil liability in tort, plus SEBI penalty if system audit failure
  5. Facilitates money laundering via unauthorised forex - PMLA prosecution + ED attachment

For User / Trader:
If you trade on unauthorized ETP (95 on RBI Alert List), you have no legal recourse in India. Contract is void as FEMA violation. Bank account can be frozen under PMLA, and penalty up to 3x amount.
