Failure To Affix Appropriate Stamps Before Execution
1. Statutory Mandate
Section 17 - Instruments to be stamped before or at time of execution:
All instruments chargeable with duty shall be stamped before or at the time of execution.
Section 2(14) - Duly Stamped: Means stamped with adhesive or impressed stamp of correct amount and that such stamp has been affixed and used in accordance with law.
Two types of failure:
- No stamping at all - Instrument executed on plain paper
- Insufficient / Inappropriate stamping - Wrong Article, adhesive stamp not cancelled as per Section 12, not using e-stamp / non-judicial paper when mandatory
2. Consequences
A. Civil Consequence - Inadmissibility: Section 33, 35, 36
- Section 33: Every person having authority to receive evidence shall impound insufficiently stamped instrument.
- Section 35: Instruments not duly stamped inadmissible in evidence for any purpose. Court cannot act upon it, even for collateral purpose, until deficit duty + penalty up to 10x is paid under Section 40.
It is a curable defect, not void ab initio. But until cured, you cannot prove the contract.
B. Criminal / Penalty Consequence
- Section 62(1)(b): Executing or signing otherwise than as a witness any instrument chargeable with duty without same being duly stamped - punishable with fine up to Rs.5000. As held in Emperor vs Girdhardas Liladhar (1933) - passing an unstamped receipt is offence under Sec 62(1)(b) and Sec 65.
- Section 63: Failure to cancel adhesive stamp at time of execution - penalty.
C. Administrative Consequence
Document presented for registration will be impounded by Sub-Registrar and sent to Collector under Section 38 for determination of duty. As held by Madras High Court - once presented, presenter cannot withdraw document to evade deficit duty.
3. Leading Case Laws
1. The Landmark on Arbitration - Re: Interplay Between Arbitration Agreements and Stamp Act, (7-Judge Bench, 2023) AIR 2024 SC 1
Supreme Court overruled SMS Tea Estates Pvt. Ltd. v. Chandmari Tea Co. (2011). Held:
Arbitration clauses in unstamped/insufficiently stamped agreements are enforceable. Defect of non-stamping is curable, agreement shall not render void ab initio or unenforceable, but would be inadmissible in evidence until cured.
Arbitration agreement is distinct and severable.
2. Vijay vs Union of India & Ors., 2023 INSC 1030 [Supreme Court]
Two twin conditions for Section 35 bar: (i) instrument must be chargeable with duty, (ii) not duly stamped. If instrument was not required to be stamped at time of execution, Section 35 has no application and no bar can be imposed.
Court also held: If original is insufficiently stamped, even its copy cannot be adduced as secondary evidence.
3. Hindustan Steel Ltd. v. M/s Dalip Construction Co., AIR 1969 SC - 18 Feb 1969
Supreme Court clarified Sec 35, 36, 42. While Section 35 bars unstamped instruments, once an instrument is admitted without objection under Sec 36, its admissibility cannot be challenged later on ground of insufficient stamping.
4. Avinash Kumar Chauhan v. Vijay Krishna Mishra, (2009) 2 SCC 532
Interpreted "for any purpose" in Section 35 includes collateral purposes. Unstamped document cannot be looked into even for collateral purpose.
5. Delhi High Court - M/s Celebration Hotels & Resorts (P) Ltd. Vs M/s Sartaj Hotels Apartments & Vilas Pvt Ltd., CS(OS) 612/2012, Judgment 10-06-2024
Held inadequate stamping of Agreement to Sell of immovable property is a curable defect, which can be rectified on payment of requisite stamp duty under Article 23A.
6. Calcutta High Court - Sri Bimal Chandra Roy v. Smt. Sobha Ghatak (AP 927/2017)
Held petition u/s 11(6) Arbitration Act maintainable against insufficiently stamped development agreement executed before it was mandatory to stamp. Instrument not required to be stamped at time of execution cannot be impounded.
7. Delhi High Court - ABC Beverages v. IRCTC
Tender documents required non-judicial stamp + notarial stamp under NIT. Omission of notarial stamp rendered documents invalid under Section 42 and justified rejection of bid.
4. Practical Doctrine for Banks / Commercial Practice
For collateral documents - mortgage deed, hypothecation, personal guarantee, loan agreement:
- If loan agreement executed without stamp, bank cannot sue on it. It will be impounded and 10x penalty levied, delaying SARFAESI enforcement by 6-12 months.
- Before execution checklist:
- Determine Article under Schedule I / State Amendment (e.g., Delhi: Agreement - Article 5, Mortgage - Article 40)
- Ensure e-stamp / physical stamp purchased in name of executant, date of purchase before execution date
- Cancel adhesive stamps by executant writing name/initials across it at time of execution as per Sec 12
- For instruments executed outside India - Sec 18 allows stamping within 3 months of receipt in India
