Failure To Provide Deal Confirmations Promptly .
1. What is the Rule?
SEBI Circular No. SMD/MDP/Cir/043/96 dated Aug 5, 1996 and SEBI (Stock Brokers and Sub-Brokers) Regulations, 1992 - Reg 17(1)(i) and Reg 7 read with Schedule II - Code of Conduct:
- Broker must issue Contract Note in Form A/B with pre-printed serial numbers, within 24 hours of execution of trade.
- Must obtain client acknowledgement on counterfoil / digital log.
- If trade executed through sub-broker, main broker still liable.
- Under SEBI Circular SMD(B)/104/22775/93, common irregularity noted: Despatching contract notes after 24 hours
As per regulations, brokers must issue the contract note to the investor within 24 hours of the trade execution. Failing to issue within 24-hour period may result in penalties
Deal confirmation includes: Order No, Trade No, Time, Price, Quantity, Brokerage, Settlement No.
2. Penalty Provision
Section 15F of SEBI Act, 1992:
If any person who is registered as a stock broker - (a) fails to issue contract notes in the form and manner specified by the stock exchange of which such broker is a member, he shall be liable to a penalty which shall not be less than one lakh rupees but which may extend to one crore rupees for which the contract note was required to be issued
Also Section 15A(a) - failure to furnish document - 1 lakh per day.
3. Detailed Case Laws
Case 1: SEBI vs ISE Securities and Services Ltd. (SAT Order 2 Feb 2006)
Charge: Non-issuance of contract notes within 24 hours of execution.
Defence: Broker submitted 30,000 to 45,000 trades per day, sub-brokers across 40 cities, physical dispatch delayed despite generation within 24 hours.
SAT Finding: Enquiry Officer recommended minor penalty of censure. SAT held that generation is not enough, despatch is mandatory. Delay even by 1 day is violation. But considering volume, penalty reduced to censure, not suspension.
Ratio: Burden on broker to prove system capacity.
Case 2: SEBI vs Sykes and Ray Equities (I) Ltd. (SAT 27 Dec 2005)
Charge: Delay in delivery of contract notes at member broker's end in violation of SEBI Circular SMD/MDP/Cir/043/96.
Broker argued: Received standing instructions from sub-brokers that contract notes need not be sent daily, though printed within 24 hours.
Held: Standing instruction cannot override SEBI circular. Warning imposed. Tribunal said contract note is client's right, not broker's discretion.
Case 3: SEBI vs Fortune Equity Brokers (India) Ltd. (SAT 13 Jan 2006)
Broker admitted contract notes were not signed due to oversight / negligence. According to SEBI circular it is mandate to issue contract notes within 24 hours.
Held: Violation of Reg 7. Penalty of censure. Admission itself sufficient.
Case 4: SEBI vs NAM Securities Ltd. (SAT 30 Oct 2003)
Three charges:
- Contract notes did not bear pre-printed serial numbers
- Contract notes were not issued within stipulated time
- Non-issuance in some transactions.
Broker generated on settlement basis through software.
Held: Guilty. Must bear pre-printed serial numbers annually under Rule 15(2)(b) of SCR Rules 1957. Violation of 24-hour rule attracts 15F.
Case 5: SEBI vs Shubham & Co. (SAT 12 Jan 2006)
On charge of non issuance of confirmation memo, broker replied it was issuing only confirmation memos having all particulars and contents same as contract notes. Enquiry officer: Broker failed to produce even single copy.
Held: Cannot substitute contract note with internal memo. Penalty.
Case 6: SEBI vs Right Finstock Pvt Ltd. (SAT 11 May 2006) & First Securities Pvt Ltd. (30 Nov 2005)
Both cases: Attempts were being made to obtain acknowledgement without fail and contract notes being issued within 24 hours.
SAT emphasized: Non-obtaining of acknowledgement on counterfoils is not in conformity with Regulation 17(1)(i). Client acknowledgement is evidence of prompt delivery.
Case 7: Master Capital Services Ltd - SEBI Enquiry Order Reg 13(4)
Inspection found contract notes issued within 24 hours but sent through courier, if clients collect personally no acknowledgement. Held: System must record digital log / email proof.
Case 8: Agbros Securities Pvt Ltd - SEBI Enquiry
Broker registration INB 031017534. During inspection of books, non-issuance within time found. Adjudication led to suspension proceedings under Reg 29(3).
4. Defences That Do NOT Work
As per SAT consistent view:
- "High volume of trades" - Not accepted as in ISE Securities
- "Client said don't send daily" - Not accepted as in Sykes and Ray
- "We printed but not dispatched" - Printing ≠ Issuance
- "Sub-broker responsible" - Main broker vicariously liable
Defences That Work for Mitigation:
- First-time violation + immediate rectification → Censure/Warning instead of monetary penalty
- Proof of electronic issuance within 24 hours + email bounce log → considered compliance
- Force majeure - postal strike with evidence.
If you are facing SEBI inspection for this, you need to show:
- Contract Note register with serial numbers
- Time-stamped email / courier POD within 24 hrs
- Client acknowledgment
- System audit report
