Position Overview
A Legal Senior Associate at Lex Consult is a senior-level lawyer responsible for handling complex corporate legal matters, particularly in Mergers & Acquisitions (M&A). This role involves leading transactions, providing strategic legal advice, managing due diligence, drafting contracts, and mentoring junior associates. It typically suits candidates with 5–6 years of post-qualification experience (PQE) who have strong corporate law expertise.
Key Responsibilities
M&A Transactions
Lead mergers, acquisitions, joint ventures, and corporate restructuring deals from initiation to completion.
Coordinate all legal aspects of transactions to ensure smooth execution and compliance with laws.
Strategic Legal Advisory
Provide clients with guidance on complex corporate and commercial issues.
Advise on structuring transactions to optimize legal, regulatory, and commercial outcomes.
Contract Drafting & Negotiation
Draft, review, and negotiate key transactional documents such as share purchase agreements, joint venture agreements, shareholder agreements, and disclosure schedules.
Ensure agreements protect client interests and minimize risk.
Due Diligence Management
Conduct or oversee legal due diligence to identify potential risks, liabilities, or regulatory concerns.
Prepare due diligence reports and highlight critical issues for client decision-making.
Client Relationship Management
Maintain and develop relationships with clients by understanding their business needs.
Act as a trusted legal advisor, ensuring timely, practical, and business-oriented solutions.
Team Leadership & Mentorship
Supervise and guide junior associates in drafting documents, conducting research, and managing transactions.
Review work for accuracy, legal compliance, and quality before submission to clients.
Industry Knowledge & Research
Stay updated on corporate, securities, and regulatory laws affecting M&A.
Provide insights on emerging trends or potential legal risks relevant to clients’ industries.
Skills & Competencies
Strong knowledge of corporate and commercial law, especially M&A.
Excellent drafting, negotiation, and analytical skills.
Ability to manage complex transactions with minimal supervision.
Strong client management and interpersonal skills.
Leadership qualities to mentor junior team members.
Business acumen to provide practical legal solutions aligned with business goals.
Educational & Professional Requirements
Education: Bachelor’s degree in Law (LLB); LLM or specialization in corporate law is advantageous.
Experience: 5–6 years of PQE, preferably with exposure to corporate law, M&A, and high-value transactions.
Additional Qualifications: Knowledge of regulatory compliance, corporate governance, and sector-specific laws (like fintech, retail, or real estate) is beneficial.
Reporting & Stakeholders
Reports To: Partner or Head of M&A practice.
Works With: Junior associates, clients, external counsel, and internal legal teams.
