1. About the Role
This is a mid-level legal position targeted at lawyers who have 2-3 years of post-qualification experience (PQE). The focus is on Mergers & Acquisitions (M&A) and Venture Capital (VC) transactions. The candidate will work closely with senior lawyers and clients to handle complex corporate deals.
2. Key Responsibilities
Mergers & Acquisitions (M&A)
Drafting, reviewing, and negotiating share purchase agreements, asset purchase agreements, joint venture agreements, and other corporate transaction documents.
Conducting due diligence for mergers, acquisitions, and corporate restructuring.
Advising clients on legal risks and regulatory compliance related to acquisitions or sales.
Coordinating with financial, tax, and commercial advisors during transactions.
Venture Capital (VC)
Assisting startups, investors, and venture capital funds with investment transactions.
Drafting and reviewing subscription agreements, shareholders’ agreements, convertible notes, and SAFE agreements.
Advising on corporate governance, rights, and obligations of shareholders.
Handling legal compliance for fundraising rounds, including corporate filings and approvals.
General Corporate Work
Providing advice on corporate law matters including incorporation, capital structuring, and regulatory compliance.
Supporting clients on corporate governance, contracts, and regulatory filings.
Client Interaction
Communicating with clients, understanding their business needs, and providing practical legal solutions.
Preparing memos, briefs, and reports for internal or client purposes.
3. Required Skills
Legal Expertise
Strong understanding of M&A law, corporate law, and VC/investment law.
Knowledge of regulatory frameworks relevant to corporate transactions in India.
Transactional Skills
Ability to draft and negotiate agreements accurately.
Understanding due diligence processes and reporting legal risks.
Analytical Skills
Ability to assess business risks from a legal perspective.
Strong attention to detail, especially in reviewing complex contracts.
Communication
Excellent written and verbal communication.
Ability to explain legal issues in simple terms to clients.
Teamwork
Work effectively with senior lawyers, other team members, and external advisors.
Ability to manage multiple transactions simultaneously.
4. Experience Required
PQE 2-3 years, specifically in:
M&A transactions.
VC / private equity investments.
Corporate law advisory.
Experience in a corporate law firm or in-house legal team dealing with corporate transactions is preferred.
