Section 45 of the Companies Act, 2013 deals with the Numbering of Shares.

Key Provision:

Every share in a company must be distinguished by its appropriate number,
except:

In the case of shares held with a depository (i.e., in dematerialized form).

📝 In Simple Words:

Normally, each physical share certificate must have a unique number for identification.

But when shares are held in demat form, they do not need to be numbered because the depository maintains electronic records.

✅ Example:

If a company issues 1,000 physical shares, each will be numbered (e.g., 1 to 1,000).
If shares are in demat, numbering is not required.
