Documentation Obligations In Syndicated Lending .

1. The Documentation Framework

Most syndicated loans globally follow Loan Market Association (LMA) / Asia Pacific Loan Market Association (APLMA) Recommended Forms. LMA itself says its form cannot be used without amendments and must be negotiated transaction-by-transaction.

Core principle in LMA:

Each Finance Party's obligations are several, and its rights and any debt owed to it are separate and independent.
No party is responsible for the obligations of another.

This several-liability architecture drives all documentation duties.

2. The Complete Documentation Suite

A. Pre-syndication / Primary documents:

  1. Mandate Letter / Term Sheet - Arranger's mandate, market flex, clear market provisions.
  2. Information Memorandum (IM) / Offering Circular - Prepared by borrower with arranger. Contains business, financials, projections. This is where misrepresentation risk lives.
  3. Confidentiality / Non-Disclosure Agreements - LMA now includes express confidentiality undertaking because implied duty of bank to customer is uncertain.

B. Core Finance Documents:

  1. Facility Agreement - The master contract. LMA Clause 2.2, 18, 19, 20, 26 are critical.
  2. Fee Letters - Arrangement, Agency, Participation fees.
  3. Security Documents - Debenture, Mortgage, Share Pledge, Assignment.
  4. Intercreditor Agreement - Ranking, voting thresholds, enforcement waterfall.
  5. Utilisation Request, Transfer Certificates, Compliance Certificates.

3. Documentation Obligations by Party

A. Borrower / Obligor Group Obligations:

  • Information Undertakings (LMA Cl. 18-20): Provide audited financials, management accounts, compliance certificates, KYC, material litigation notice, no misleading information representation.
  • Accuracy Obligation: Representation that all factual information in IM and Finance Documents is true, complete, not misleading. Repeating representation on each utilisation.
  • Preservation Obligation: Maintain corporate existence, authorisations, pari passu ranking, deliver all documents listed in Conditions Precedent schedule.

B. Arranger / Bookrunner Obligations:

  • Structuring and distributing IM. No duty to verify borrower information unless it contractually undertakes to do so. Standard disclaimer: Arranger has not independently verified information.
  • Negotiation management. Once syndication closes, its role ends except if it is also Agent.

C. Agent Bank (Facility Agent, Security Agent) - Most litigated:

The law distinguishes mechanical agency vs fiduciary duty.

  1. Mechanical / Ministerial: Distribute payments, notices, maintain loan register, monitor covenants based on certificates received. Liable if negligent in this.
  2. No fiduciary duty to lenders by default. LMA Clause 26.6 - Role of the Agent is expressly mechanical.

This is codified in market practice:

Each Lender agrees that neither the Documentation Agent nor the Syndication Agent shall have any duties or obligations under any Loan Documents
Notwithstanding anything to the contrary, the Syndication Agent and Documentation Agent shall have no obligations, duties or responsibilities, and shall incur no liabilities
Neither... shall have or be deemed to have any fiduciary relationship with any Lender

Agent obligations are therefore "pure agency" - only what is expressly written.

D. Documentation Agent:
In many US deals, a bank is titled Documentation Agent for league table credit. Clause makes clear it is an honorary title with no documentation obligation at all.

E. Lenders:
Obligation to fund several portion only, confidentiality, voting as per Majority Lenders definition. Obligation to make independent credit appraisal - LMA Cl. 26.8 "No investigation" - lenders confirm they have not relied on Agent or IM.

4. Key Case Law on Documentation Obligations

1. UBAF Ltd v European American Banking Corp QB 713 - The Information Memorandum Case
Principle: Arranger who prepares IM with disclaimer is not liable for borrower's misstatements unless it knew information was false and failed to disclose. Established the market practice of extensive disclaimers in IM.
Borrower is liable for misrepresentation; arranger's duty is to not knowingly pass false info.[1984]

2. Security Pacific National Bank v Chemical Bank, 20 F.3d 375 (9th Cir. 1994) - Agent Failure to Perfect Security
Agent Bank syndicated a loan it previously held alone but failed to amend its UCC-1 filing to read "Security Pacific Bank, as Agent". Security interest held for syndicate was unperfected, syndicate lost priority on borrower bankruptcy. Court held Agent liable to participant banks for failure to maintain loan documentation and records.
Rule: Agent has duty to maintain and perfect security documentation it holds for syndicate.

3. Standard Chartered Bank v Pakistan National Shipping Corp (No.2) UKHL 43
Agent relied on false documents presented by borrower for letter of credit reimbursement. House of Lords held agent had no duty to investigate underlying document authenticity beyond reasonable banker standard if Facility Agreement allowed reliance on certificates. Reinforces LMA concept of reliance on compliance certificates.[2002]

4. IFE Fund SA v Goldman Sachs International EWCA Civ 811
Investor in syndicated loan claimed Goldman Sachs misled in IM for Wessanen loan. Court of Appeal upheld efficacy of disclaimer clause stating lender must make own independent appraisal. Non-reliance clause enforceable between sophisticated parties. Upheld LMA-style "no representation" language.[2007]

5. Torre Asset Funding Ltd v Royal Bank of Scotland EWHC 2670 (Ch)
Participant banks sued RBS as arranger/agent for failing to disclose material information about borrower (autonomy collapse). High Court held RBS had no duty to disclose information acquired in other capacities unless Facility Agreement required it, and IM disclaimers were effective. Clarified scope of disclosure obligation under LMA Clause 32.13.[2013]

6. National Westminster Bank plc v Morgan + Concord Trust v Law Debenture
Agent Bank does not owe fiduciary duty to syndicate; duty is contractual only. Concord Trust confirmed Security Trustee's duty limited to trust deed, not general monitoring of borrower.[1985][2005]

7. Indian Jurisprudence - RBI Master Directions on Syndicated Lending and SBI v. M/s. Indexport (1998)
Indian courts treat syndicated facility as separate contracts. In Syndicate Bank v. K. Manohara (2003), Court held guarantor documentation makes co-borrowers jointly and severally liable as per documents executed. For personal guarantee integration, Supreme Court in 2024 composite transaction doctrine held that if personal guarantee is condition precedent to loan documents, guarantee forms part of one composite transaction and arbitration clause in main loan can bind guarantor despite no clause in guarantee deed itself.

5. Practical Documentation Obligations Checklist

For Borrower Counsel:

  • All CPs delivered and in agreed form (constitutional docs, board resolutions, legal opinions)
  • No Material Adverse Change representation true
  • Financial information prepared on consistent GAAP basis

For Agent:

  • Maintain execution copies, create loan ledger, perfect security within statutory period (CERSAI in India within 30 days, UCC in US)
  • Do not distribute information received as confidential unless allowed under Cl. 37 (LMA Confidentiality)
  • Enforce only upon Majority Lenders instructions - no independent enforcement right

For Lenders:

  • Failure of one lender to fund does not release others. Remedy is against borrower for pro-rata shortfall + defaulting lender provisions.
  • Right to individually enforce? Generally NO. LMA restricts individual enforcement - must act via Agent to ensure concerted action. Some courts allow individual suit for its own share if Intercreditor is silent - major litigation point in * minority lenders under APLMA & LMA documents* cases where court noted Facility Agreement did not deal directly with individual lender's right to obtain repayment.

Bottom line: In syndicated lending, documentation does not create trust - it replaces trust. Every obligation must be expressly stated, because courts will not imply fiduciary duties to fill gaps. Your Facility Agreement must clearly state: Who drafts, who verifies, who holds, who perfects, and who may enforce.
