E-Invoicing Regulatory Integration With Banks .
I. Regulatory Position
Rule 48(4) CGST Rules + Notification 13/2020 as amended:
E-invoicing mandatory for businesses with AATO > Rs.5 Cr from 01.08.2023. Process: ERP -> JSON -> Invoice Registration Portal (IRP) -> IRN + QR Code -> Auto sync to GSTR-1 and E-Way Bill portal.
Exempt Entities - Regardless of Turnover:
- Banks, NBFCs, Financial Institutions, Insurance companies
- GTA - Goods Transport Agency
- Passenger Transport Services
- SEZ Units (but Developers must comply)
- Government Departments
Reason: Banks operate under Banking Regulation Act, their invoices are financial services, regulated by RBI, not suitable for IRP.
BUT RBI and CBIC integration for Banks is in 4 places:
A. CBS Integration:
- TDS/TCS deduction on banking charges attracting GST
- Automatic GST invoicing for banking services with IRN generation is done by Banks internally but not reported to IRP - reported directly to GSTN
- Account-level GST liability tracking for registered business customers
- Reconciliation of GSTR-2A with vendor payment records for trade finance
- Automated ECL - Electronic Credit Ledger inquiry
B. Credit Validation Integration:
As per CBIC Press Release 2020: "With the e-invoicing system, banks may not require a plethora of physical documents and their validation."
How Banks use e-invoicing:
- Working Capital / Invoice Discounting / LC: Bank API checks IRN validity on NIC IRP - Is invoice genuine? Status Active / Cancelled? Prevents fake invoicing / circular trading.
- TReDS Platforms (RXIL, M1Xchange, Invoicemart): RBI mandates e-invoice compulsory for TReDS financing - No IRN, no discounting.
- GST Returns Prefill: E-invoice data auto populates GSTR-1 -> GSTR-2B. Bank checks 2B vs books to validate turnover.
- Validation Logic: IRP validates combination GSTIN + Invoice No + Doc Type + Fin Year. Duplicate invoice rejected. Bank uses same logic.
II. Technical Integration Flow for Banks
Borrower -> ERP -> IRP (NIC) -> IRN
Borrower -> Applies to Bank for Finance -> Bank -> Calls IRP API with IRN -> Gets:
- Seller GSTIN, Buyer GSTIN, Invoice Value, HSN, Tax Amount, Date
- Status: Valid / Cancelled (Cancelled after 24 hrs not allowed)
- E-Way Bill linked? Yes/No
If IRN invalid / cancelled / not found = Finance Rejected = Fraud Flag
Bank also integrates with:
- E-Way Bill portal: E-Invoice data transmitted to E-Way Bill portal automatically to generate EWB.
- Account Aggregator: GST returns + E-Invoice data shared with bank with consent.
III. Case Laws - Why Banks Now Mandate E-Invoice
1. Tax Invoices, E-Way Bills, Banking Channel Payments Not Enough to Avail ITC - SC and HC Line
SC Ruling under VAT applied to GST - TaxReply 2023: Though ruling under VAT regime, principle applies to GST: Merely producing tax invoices, e-way bills, and banking channel payments is not sufficient to claim ITC on goods purchased.
Allahabad High Court - Amit Upadhyay (Proprietor of Gayatri Diamonds) vs Sales Tax Officer 2024 (161 taxmann.com 676 Delhi):
Department disallowed ITC for not showing bank payment proof without demanding it. HC remanded matter - Department must demand bank proof, but bank payment alone not sufficient - need e-invoice + e-way bill + delivery proof.
Implication for Banks: If tax department itself says banking channel payment not enough, banks financing on basis of only invoice copy + bank statement is risky. Must validate IRN.
2. Bail Granted in Fake Invoicing and Circular Trading Case - Evidence was Documentary and Electronic - HC Taxmann 2024
Petitioner involved in fake invoicing and fraudulent ITC claims through circular trading, based on documentary and electronic evidence of invoices WITHOUT movement of goods. Custody 3 months, bail granted because evidence documentary/electronic via official witnesses.
Ratio for Banks: Fake invoicing = circular trading without goods movement. E-Invoice alone does not prove movement - need E-Way Bill linkage. Banks who financed such invoices without checking IRP + EWB faced NPA fraud.
3. HC Quashed Orders Blocking Electronic Credit Ledger and Attaching Bank Account under Rule 86A
HC quashed orders blocking ECL and provisionally attaching bank account. Impugned orders relied on borrowed satisfaction from enforcement authority reports, impermissible. Attachment of bank accounts to secure suspected liabilities of third parties without establishing GST liability of petitioner not allowed.
Important for Bank Integration: Under Rule 86A, if supplier's ECL blocked due to fake e-invoice, recipient's ITC denied, bank's financed invoice becomes worthless. Bank must check supplier's compliance status on GSTN before financing.
4. GST Attachment Must Follow Evidence and Ownership, Not Suspicion - CA Club India
Department attached payment platform's bank accounts for online gaming merchants suspected of evasion. HC found no statutory basis to attach petitioner's bank accounts to secure suspected liabilities of third parties under Sec 122(1A).
Principle: Bank account attachment for GST evasion requires own liability, not client liability.
5. Merely Producing Tax Invoices, E-Way Bills, Banking Payments Not Sufficient to Claim ITC - Jindal Case 2023
Gujarat / Rajasthan HC held: Invoice + EWB + bank payment - all three together also not sufficient if supplier non-existent or ECL blocked or GSTR-3B not filed. Need GSTR-2B reflection.
IV. What Banks Must Do - Compliance Checklist 2025
For Finance up to Rs.5 Cr AATO borrower (Non E-Invoice mandatory):
- Collect self-declaration + GSTR-1 filing proof
- Manual invoice verification
For Borrower > Rs.5 Cr AATO (E-Invoice mandatory):
- Mandate IRN + QR on invoice - Scan QR via NIC app
- API validation - IRN status = Active on IRP
- Check Invoice Date vs IRN Generation Date - Gap > 7 days = red flag (should be real time)
- Check GSTR-1 / 2B reflection - Auto populates within 24 hrs
- Link to E-Way Bill - If goods supply, EWB must be generated from same IRN
- Check if IRN cancelled - If cancelled within 24 hrs after financing = fraud
- For TReDS - Mandatory - No IRN = No discounting per RBI
Regulatory Penalty if Bank Fails:
- Classification as Fraud account under RBI Master Directions on Fraud Risk Management 2024
- Forfeiture of CGTMSE / CGFSEL guarantee if e-invoice not validated
Future: From FY 2025-26, CBIC and RBI working on Account Aggregator + GSTN + TReDS integration - Bank will get real-time consent-based GST data, IRN, GSTR-3B filing, ECL balance directly in Loan Origination System. No physical document.
