Ecb Drawdown Through Banks .
1. Legal Framework - RBI Master Direction No.5 of 2019
ECB is defined under Foreign Exchange Management (Borrowing and Lending) Regulations 2018.
Eligible Borrower: All entities eligible for FDI - Industrial, NBFC, etc.
Eligible Lender: Foreign bank, foreign equity holder, etc.
Core Drawdown Rule:
Drawdown – (1) An eligible borrower shall drawdown ECB only after obtaining the Loan Registration Number (LRN) from Reserve Bank through the designated AD Category I bank. (2) ECB proceeds shall be repatriated immediately and credited to an INR account held in India with the designated AD Category I bank.
No LRN = No Drawdown. This is mandatory.
2. Step-by-Step Procedure Through Bank
Step 1 - Appoint AD Bank:
You must designate one AD Cat-I bank as designated bank. Only that bank can process.
Step 2 - File Form ECB:
Borrower files certified Form ECB through AD Bank to RBI DSIM, Mumbai. Contains terms - lender, amount, all-in-cost, average maturity (min 3 years), end-use.
Step 3 - Obtain LRN:
RBI issues Loan Registration Number. Average time 3-5 days if automatic route. Approval route needs RBI approval first.
Step 4 - Drawdown:
After LRN, lender remits funds. Borrower must ensure proceeds are repatriated immediately and credited to INR account with AD bank.
RBI note: The primary responsibility to ensure that the ECB proceeds meant for Rupee expenditure in India are repatriated to India for credit to their Rupee accounts with AD Category-I banks in India is that of the borrower concerned and any contravention will be viewed seriously and will invite penal action
Step 5 - Form ECB 2 Reporting:
AD bank files monthly ECB 2 Return by 7th of next month to RBI through ECB return portal. If you miss:
Non Submission of Form ECB 2 will attract late submission fee. Up to 30 days INR 5,000, Up to three years INR 50,000 per year, Beyond three years INR 100,000 per year
Step 6 - End-use Certification:
AD bank must ensure end-use as per Master Direction - capital expenditure, not for working capital, general corporate purpose limited to 5y maturity, not for real estate, equity investment, etc.
Powers of AD Bank Now Delegated:
As a measure of simplification, RBI has delegated to AD banks:
- Changes/modifications in drawdown/repayment schedule
- Reduction in loan amount
- Changes in all-in-cost
- Change of AD bank itself
But only if average maturity maintained.
3. Common Violations in Drawdown
Violation 1 - Drawdown without LRN
24% of cases received relate to drawdown without obtaining LRN. This is FEMA contravention under Sec 6(3). Must go for compounding.
Violation 2 - Not repatriating immediately / Parking abroad
You cannot keep ECB proceeds in foreign account. Must bring to India unless permitted for foreign capex - even then AD bank must allow parking in ECB account abroad for 12 months.
Violation 3 - AD Bank permits drawdown without end-use check
RBI penalizes AD bank under Section 11(3) FEMA.
When an AD bank permits a remittance that exceeds the LRS limit, or processes an ECB drawdown without verifying end-use compliance, the contravention can be compounded rather than prosecuted.
4. Case Laws
CASE 1: Egger Pumps India Pvt Ltd vs ITO (ITAT Chennai 2023) - Forex Restatement on ECB
Facts: Company received Euro 3,24,982.65 ECB from Swiss parent in 2006. Claimed Rs.7,02,000 as forex loss on year-end restatement of outstanding ECB as revenue expenditure.
AO held it capital.
ITAT Chennai Ruling: Dismissed appeal. Held forex loss on ECB restatement is capital in nature if ECB used for capital asset creation. Cannot claim as revenue deduction. This case is heavily cited for drawdown accounting - when ECB drawn for capex, forex fluctuation treatment follows.
Principle: Purpose of ECB drawdown determines tax treatment. If drawn for capital, restatement loss not deductible.
CASE 2: Sanjiv Lamba vs AD, Enforcement Directorate - FPA-FE-10/DLI/2024 - SAFEMA Appellate Tribunal 10-12-2025
Facts: Person resident in India held foreign bank account and took overseas loan without RBI nod under ECB / LRS.
Tribunal: Upheld Rs.92.5 lakh penalty under Section 13 FEMA.
Foreign Bank Account & Overseas Loan Without RBI Nod Attract FEMA Penalty: SAFEMA Tribunal Upholds penalty
Principle: Any foreign loan including ECB without following AD bank drawdown route = contravention of Sec 6(3)(b) FEMA. Penalty up to 3 times amount involved or Rs 2 lakh whichever higher u/s 13.
CASE 3: RBI Compounding Orders - LRN Delay - Typical Order 2022-2024
In 100s of compounding orders published by RBI CELRAC:
Facts: Company received ECB proceeds on 15th Jan but LRN obtained on 30th Jan. AD bank credited account before LRN.
RBI Order: Contravention of Para 2 of Master Direction. Company applied for compounding under Master Direction on Compounding 2020. Compounding fee Rs 50,000-2,00,000 based on amount and delay.
Any borrower, who is otherwise in compliance of ECB guidelines, can regularize the delay in reporting of drawdown of ECB proceeds before obtaining LRN or delay in submission of Form ECB 2 returns, by payment of late submission fees
Principle: Drawdown before LRN is compoundable, not criminal, if borrower otherwise compliant and end-use correct. Must approach through AD bank.
CASE 4: HDFC Bank / Other AD Banks - RBI Penalty u/s 11(3) - 2024-25
RBI imposed penalty of Rs 1-2 lakh on several AD Cat-I banks for:
- Allowing ECB drawdown without verifying Form ECB filing
- Not filing ECB 2 within time
- Allowing end-use for prohibited purposes
RBI Press Release: After considering the facts of the case and the bank's reply, the Reserve Bank came to the conclusion that the contraventions were substantiated and warranted imposition of penalty under FEMA
Principle: AD bank is not just remitter, it is regulator delegate. If it fails to ensure drawdown only after LRN, bank itself penalized.
CASE 5: Idea Cellular / Vodafone - ECB Prepayment Case
Facts: Telcos drew ECB for spectrum payment. Wanted to prepay ECB before 3 year average maturity. AD bank refused without RBI approval.
RBI Clarification: Prepayment of ECB up to USD 500 million may be allowed by AD banks without prior approval, but only if average maturity test still met after prepayment.
